National Alumni Association
By-Laws

Section 1. All persons who have matriculated through The University of West Alabama or its predecessor state colleges, persons who have served as members of the faculty or staff of The University of West Alabama or any of its predecessors, and persons who have served as members of the Board of Trustees of The University of West Alabama are alumni. Active members of the Association must pay annual membership dues of $25.00 made payable to the UWA National Alumni Association, hereafter referred to as the Association.

Section 2. Honorary Alumni Membership
(a) Any person who has rendered distinctive service to The University of West Alabama may be elected to become an honorary alumnus of The Alumni Association, upon recommendation of the Alumni Executive Council.
(b) Persons holding honorary membership do not vote or hold office.

Section 3. The President of the Association shall appoint a nomination committee of 3 active members. The committee shall select nominees for the offices from the active membership roll.

Section 4. The Treasurer shall present an annual financial report, for the fiscal year (October 1 through September 30) to the Association’s Executive Council, hereafter referred to as the Council. The Treasurer shall present a proposed operating budget for the next fiscal year to the Council and the Council will review the proposed budget. The final budget will be presented at the Association’s annual meeting. The Association’s funds shall be held within the UWA Foundation and shall be audited at the close of each fiscal year.

Section 5. The Treasurer shall disburse funds by signing all expenditure requests of the Association and in accordance with the directives of the Council.

Section 6. The Council shall meet on the second Saturday in July each year. The President of the Association may call a special meeting of the Council, as needed.
Chartered alumni chapters of the Association shall meet a minimum of once each year.
The Association shall meet annually at Homecoming. At the annual meeting, the Association shall elect officers when appropriate and conduct general business transactions. The President of the Association or a majority of the Council may call a special meeting of the Association.

Section 7. The Council shall consist of the officers named in Section 1 of Article IV of the Constitution; the President of each of the Association’s chartered Alumni Chapters; nine (9) alumni elected at-large from the membership of the Association; the President of The University of West Alabama; the Alumni Director of The University of West Alabama; any Committee Chairperson of committees named by the Council; and the immediate past-President of the Association.

Section 8. An Alumni Chapter may be chartered in any area where alumni population dictates a reasonable membership. The Alumni Chapter will be an extension of the Association and its membership shall reflect those of the Association. The chartered chapter shall mirror the objective and mission of the Association as stated in the Constitution, Article I, Section 2. The chartered chapter shall elect a President, Vice-President, Secretary and a Treasurer from its membership to serve terms determined by the chapter. The chapter may elect committees at its discretion.

Section 9. A quorum of the Council shall be ten (10) officers or members of the body, who must be present. The Association shall require a minimum attendance of twenty (20) active Association members to convene a meeting.

Section 10. Committees shall be appointed by the President from active members of the Association.

Section 11. Roberts Rules of Order, Revised Edition, shall be the authority of Parliamentary procedure.

NATIONAL ALUMNI ASSOCIATION

CONSTITUTION

ARTICLE 1. NAME AND OBJECTIVES

Section 1. The name of this organization shall be The University of West Alabama National Alumni Association, hereafter referred to as the Association.

Section 2. The objectives of the Association are:

  • to promote and support the mission and goals of The University of West Alabama
  • to foster positive relationships between The University of West Alabama and its alumni
  • to communicate the role of alumni and the role of the Association in the life of The University of West Alabama to alumni, friends of the institution, current students and the general public
  • to provide leadership for special events
  • to play a prominent role in fundraising
  • to offer exclusive services to its members

ARTICLE II. MEMBERSHIP

Section 1. All persons who have matriculated through The University of West Alabama or any of its predecessor state colleges, and persons who have served as a member of the faculty or staff of The University of West Alabama or any of its predecessors, and persons who have served as members of the Board of Trustees of The University of West Alabama shall be eligible for active membership in the Association, in accordance with its’ By-laws.

Section 2. Any person who did not attend The University of West Alabama or any of its predecessors state colleges, may be elected by the Association to honorary membership upon recommendation of the Alumni Executive Council. Honorary members shall not be eligible to vote or hold office.

ARTICLE III. MEETINGS

Section 1. Meetings of the Association for the transaction of business shall be as provided by its’ By-laws.

Section 2. At all meetings of the UWA National Alumni Executive Council, hereafter referred to as the Council, a quorum of ten council members must be present for the transaction of business.

Section 3. The Association shall meet annually during Homecoming. A minimum of twenty UWA National Alumni members must be present to conduct any business at the annual meeting.

ARTICLE IV. OFFICERS

Section 1. Officers of the Association shall be a President, a Vice-President, a Secretary and a Treasurer. The President, Vice-President, Secretary, and the Treasurer shall be elected by the Association membership at its annual meeting. Each officer shall serve a three-year term.

Section 2. The President of the Association shall preside at all meetings of the Association and all meetings of the Council. The President shall appoint all committees and supervise the activities of the Association.

Section 3. The Vice-President shall serve as the President-Elect and shall exercise the duties normally associated with the office of Vice-President. In addition, the Vice-President shall serve as Parliamentarian.

Section 4. The Secretary shall record the meeting minutes of the Association and the meeting minutes of the Council. All Association permanent records shall be maintained in the office of the Director of Alumni Affairs at The University of West Alabama.

Section 5. The Treasurer shall have the authority to authorize all disbursements of the Association as provided in the By-laws and shall be responsible for giving annual financial reports to the Association. The custody of all funds and financial records of the Association will be held within The University of West Alabama Foundation with The University of West Alabama Office of Institutional Advancement providing all accounting and recording of said funds.

Section 6. The Vice-President shall succeed the President, if the office of President becomes vacant. The President shall, upon consultation with the members of the Council, appoint individuals to fill any other vacancies.

ARTICLE V. THE ALUMNI EXECUTIVE COUNCIL

Section 1.
The Association shall be governed by the Council, in conjunction with the Office of Alumni Affairs of The University of West Alabama. The Council shall consist of the officers named in Article IV, Section 1; the President of each of the Association’s chartered Alumni Chapters; nine (9) alumni elected at-large from the membership of the Association; the President of The University of West Alabama; the Director of Alumni Affairs of The University of West Alabama; any Committee Chairperson of committees named by the Council; and the immediate past President of the Association.

Section 2. The at-large alumni representatives of the Council shall serve a staggered three-year term. Each class of at-large alumni representatives shall be elected at the Association annual meeting. The chartered alumni chapter presidents shall be elected by the membership of each chapter per the chapter’s By-Laws.

ARTICLE VI. AMENDMENTS

Section 1. Amendments to the Constitution of the Association must be proposed in writing and shall be presented to the Secretary of the Council. The written proposed amendment must be presented thirty (30) days prior to the annual meeting of the Association or thirty (30) days prior to any special called Association meeting for the consideration of such amendment(s).
The Secretary of the Council shall forward a copy of the proposed amendment(s) to every member of the Council. The Council shall consider the proposed amendment(s) and shall report its recommendation to the Association. A minimum of twenty members of the Association must be present to vote on the proposed amendment(s) to the Constitution. The amendment(s) must pass with a favorable vote of a two-thirds majority.

Section 2. The By-laws of the Association may be amended at any meeting of the Council by a two-thirds vote of those present, or by a similar vote at any meeting of the Association.

ARTICLE VII. DISSOLUTION

Section 1. In the event the Association shall dissolve, any and all assets shall be turned over to The University of West Alabama, its successor, or if none, to the State of Alabama.
